Aramco Transfers Malaysia Refining Complex to Petronas

Aramco and Petronas have signed an agreement to transfer Aramco’s stakes in Pengerang Refining Company and Pengerang Petrochemical Company to Petronas. The assets, collectively known as PRefChem, are located within the Pengerang Integrated Complex in Johor, Malaysia. The deal remains subject to customary closing conditions. Once completed, PRefChem will become a wholly owned and operated subsidiary of Petronas. For Petronas, full ownership is expected to improve operational alignment across its value chain and give the company greater flexibility in managing supply, operations, and product flows. For Aramco, the transaction forms part of a broader effort to optimize its downstream portfolio and focus capital on investments that fit its long-term strategy. The companies said the transfer was agreed on mutually acceptable terms and reflects changing strategic priorities on both sides. The deal marks a shift in one of Southeast Asia’s major downstream partnerships. PRefChem sits inside Malaysia’s Pengerang Integrated Complex, a major refining and petrochemical hub designed to strengthen the country’s role in regional fuel and chemicals markets. While Aramco is exiting its ownership position, the Saudi company and Petronas said they will continue exploring commercial cooperation. Potential areas include coordinated crude oil supply, technology exchange, and integrated product distribution. The announcement underscores a wider trend among major oil companies to reshape downstream portfolios, focusing on assets and partnerships that offer stronger integration, market access, or strategic returns.
